Master Services Agreement (MSA)
Effective Date: November 5, 2026 | Last Updated: November 2026
1. Scope of Services & Deliverable Nature
SurfaceQTO ("Provider") agrees to provide preliminary quantity takeoff (QTO) worksheets, digital plan markups, and material measurement summaries for CSI Division 09 trades based solely on digital architectural drawings provided by the Client. All deliverables are strictly preliminary estimating aids and do not constitute licensed engineering, architectural, or certified quantity surveying guarantees.
2. Mandatory Client Verification & Bid Responsibility
Client acknowledges that architectural blueprints frequently contain conflicting notes, unscaled details, and trade overlaps. Client bears sole and exclusive legal responsibility for:
- Independently reviewing and verifying all quantities, partition assemblies, wall elevations, pattern waste factors, and unit prices prior to submitting any bid or ordering materials.
- Reviewing all architectural addenda, general notes, room finish schedules, and field dimensions.
- Submitting the final proposal or contract bid to the General Contractor or Project Owner.
3. Strict Limitation of Liability (Fee Cap) & Waiver of Consequential Damages
No Express or Implied Warranty of Accuracy: Provider makes no express or implied warranties regarding a specific numerical percentage of accuracy.
Waiver of Consequential Damages: In no event shall Provider, its officers, estimators, or affiliates be liable to Client or any third party for any lost profits, underbid contracts, material shortages, labor overruns, liquidated damages, or indirect, incidental, special, or consequential damages arising out of any error or omission in a takeoff deliverable.
Maximum Liability Cap: Provider’s total aggregate financial liability for any claim, error, omission, breach of contract, or negligence relating to any takeoff deliverable shall be strictly capped at and limited to the exact fee paid by the Client to the Provider for that specific individual project takeoff (or, for retainer clients, the pro-rata single-bid fee equivalent, not to exceed $450).
4. Addenda & Scope Revision Policy
Minor addenda requiring less than 30 minutes of estimator adjustment are included at no extra charge. Architectural redraws or major addenda requiring more than 30 minutes of re-measurement will be billed at 0.5 bid credits against the Client's monthly retainer or pre-paid package quota (or a flat $175 add-on fee for per-bid clients).
5. Confidentiality & Bidding Firewall
SurfaceQTO strictly ring-fences all client projects. We never disclose your company name, drawing sets, or pricing worksheets to competing subcontractors or general contracting entities. We will never sell the exact same project takeoff to two competing subcontractors in the same bidding market unless explicitly structured and disclosed as a non-exclusive public plan-room takeoff.
